THE WINGO CUP CONTEST

OFFICIAL RULES AND REGULATIONS

1. NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. BY ENTERING THIS CONTEST, YOU AGREE TO THESE OFFICIAL RULES. PLEASE REVIEW THESE OFFICIAL RULES AND REGULATIONS ("OFFICIAL RULES") CAREFULLY, AS THEY CONSTITUTE A BINDING AGREEMENT (THE "AGREEMENT"). THIS AGREEMENT INCLUDES INDEMNITIES TO THE SPONSOR (DEFINED BELOW) AND OTHER PARTIES FROM YOU AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.

2. SPONSOR / PROMOTER: The Wingo Cup Contest ("Contest") is sponsored by ESPN, Inc. (ESPN Radio, a division of ABC Radio Network Assets, One ESPN Plaza, Bristol, CT 06010) (the "Sponsor") and promoted by Dell Marketing L.P., One Dell Way, Round Rock, TX 78682 ("Promoter") for purposes of these Official Rules.

3. ELIGIBILITY: Contest is open to all legal residents of the fifty (50) United States and the District of Columbia (EXCLUDING PUERTO RICO, OTHER UNITED STATES TERRITORIES, AND FOREIGN TERRITORIES), age eighteen (18) years or older as of the date of entry (each, an "Entrant"). The following are not eligible for the Contest: (i) employees and agents of ESPN, Inc. (ESPN Radio a division of ABC Radio Network Assets), Dell Marketing L.P., their respective parent, subsidiary and affiliated companies, and each of their respective advertising/promotion agencies, officers, members, and franchisees; and (ii) the "immediate family members" and/or "household members" of any of the persons set forth in (i) above. "Immediate family members" shall mean parents, step-parents, children, step-children, siblings or spouses. "Household members" shall mean people who share the same residence at least three (3) months a year. Void in all U.S. Territories (e.g., Puerto Rico and Guam) and wherever prohibited by law. Contest is governed by U.S. law and subject to all applicable federal, state and local laws and regulations. By entering the Contest, Entrants agree to accept and be bound by all terms of these Official Rules. The decisions of the Sponsor regarding all matters relating to the Contest are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein.

4. CONTEST PERIOD: The promotion consists of two "Contest Periods" (as described below):

a. Contest Period 1: Begins on April 15, 2019 at 6:00 A.M. Eastern Time ("ET") and ends on April 24, 2019 at 11:59 P.M. E.T.

b. Contest Period 2: Begins on May 13, 2019 at 6:00 A.M. Easter Time ("ET") and ends on May 22, 2019 at 11:59 P.M. ET.

Sponsor's computer is the official time keeping device for this Contest.

5. HOW TO ENTER: To enter during either Contest Period, an Entrant must become a follower of @GolicandWingo on Twitter (if not one already), accept related account's Tweets and follow the instructions set forth below.

a. Contest Period 1: Sponsor (@GolicandWingo on Twitter) will post a tweet after 6:00:00 A.M. ET on April 15, 2019 announcing the start of Contest Period 1. To enter, an Entrant must submit a post on Twitter that includes their "Best or Worst Golf Bet" story (an "Entry"). Entries may consist of either text, images, or videos, or a combination thereof, however video submissions are highly encouraged. Valid Entries must include all of the following: the @GolicandWingo handle and the hashtag #WingoCupContest. Limit one (1) entry per person. Entry includes the post only; linking out to longer posts or elsewhere is not accepted.

b. Contest Period 2: Sponsor (@GolicandWingo on Twitter) will post a tweet after 6:00:00 A.M. ET on May 13, 2019 announcing the start of Contest Period 2. To enter, an Entrant must submit a post on Twitter that includes their "Best or Worst Golf Bet" story. Entries may consist of either text, images, or videos, or a combination thereof, however video submissions are highly encouraged. Valid Entries must include all of the following: the @GolicandWingo handle and the hashtag #WingoCupContest. Limit one entry per person. Entry includes the post only; linking out to longer posts or elsewhere is not accepted.

6. ENTRY GUIDELINES AND REQUIREMENTS: a. All submitted Entries must adhere to the following (the "Entry Guidelines"):

i. Must answer the question, "Tell us about your best or worst golf bet story?"

ii. Must be in English and no longer than the character limits associated with Twitter. If the Entry is longer than the character limits associated with Twitter, only the first valid number of characters will be considered as the eligible Entry;

iii. Must be thirty seconds (:30) or less in duration, if video format, to be accepted for judging. All videos longer than thirty seconds (:30) will not be placed into judging;

iv. Must be original and owned content by the Entrant;

v. Must be posted within applicable Contest Period dates for Contest Period 1 and/or Contest Period 2;

vi. Must not contain any material that violates or infringes another's rights, including but not limited to privacy, publicity or intellectual property rights (e.g., copyright, etc.);

vii. Must have the permission of any person(s), other than the Entrant, appearing in the Entry. If a minor is mentioned, featured, or appearing in the Entry, his or her parent/guardian must give express written consent for their child to be mentioned, featured, or appear in the Entry;

viii. Must not, in any manner, disparage Sponsor or any other person or party affiliated with the promotion and/or administration, and/or otherwise participating in this Contest;

ix. Must not include personally-identifiable information;

x. Must not contain any material that is inappropriate, indecent, lewd, pornographic, obscene, hateful, tortious, defamatory, slanderous or libelous;

xi. Must not contain any material or references promoting illegal or harmful drug use;

xii. Must not contain any material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age;

xiii. Must not contain any material that is unlawful, in violation of, or contrary to the laws or regulations in any jurisdiction where Entry is created;

xiv. Must not contain any material that Sponsor, in its sole discretion, deems inappropriate for public viewing; and

xv. Must contain the relevant Contest hashtag #WingoCupContest, and the account @GolicandWingo.

b. Each Entrant represents and warrants that the Entry does not violate any third party's intellectual property rights as referenced above, and, in connection thereto, each Entrant hereby releases, discharges and holds the Sponsor, Promoter, and their respective directors, members, shareholders, officers, employees, agents, successors, and assigns, harmless from any claims resulting from the infringement of a third party's intellectual property rights, privacy rights or right of publicity.

c. By submitting an Entry, Entrant hereby irrevocably grants Sponsor, its parent, subsidiary and affiliated entities, and each of their respective licensees, distributors, agents, representatives and other authorized users including, without limitation, advertisers/sponsors directly associated with the Contest (collectively, the "Licensed Entities"), without the requirement of any permission from or payment to you or to any other person or entity, a perpetual, non-exclusive, irrevocable, fully-paid, royalty-free, sub-licensable and transferable worldwide license to use, re-use, reproduce, transmit, print, publish, display, exhibit, distribute, re-distribute, copy, host, store, cache, archive, index, categorize, comment on, broadcast, stream, edit, alter, modify, adapt, translate, create derivative works based upon and publicly perform such Entry, in whole or in part (including, without limitation, all names, voices, addresses (city and state only) and likenesses contained in the Entry), in all means and media (including without limitation Sponsor's use of the Entry on all media properties) now known or hereafter devised, for any and all purposes including, without limitation, news, advertising, promotional, marketing, publicity, trade or commercial purposes, all without further notice to Entrant or to any third party, with or without attribution, and without further consideration, review, approval or payment, except where prohibited by law. Nothing in this Agreement obligates or may be deemed to obligate any of the Licensed Entities to use the Entry. Entrant acknowledges that the Entry may be edited and/or added to for any reason and in any manner which the Licensed Entities may, in their sole discretion, determine and may, to the extent decided by the Licensed Entities in their sole discretion, have other elements added to the Entry, and that the Licensed Entities may use and modify the Entry or any portion or element of it and combine it with other materials. Entrant further acknowledges that the consideration for entering into this Agreement is, among other things, ESPN's and/or their designees' review of the Entry in connection with the Contest, the possibility of the Entry being displayed or aired on one or more of ESPN's (or ESPN's affiliates') media platforms, and the possible publicity and promotion as a result. Entrant is not guaranteed to receive any further consideration of any kind for the Entry and any credit received in connection with any of the Licensed Entities' use of the Entry shall be in the applicable Licensed Entity's sole discretion. Entrant acknowledges that the Entry is sent voluntarily, and not in confidence, and that no confidential relationship is intended or created between Sponsor and Entrant or between any of the Licensed Entities and Entrant by virtue of the submission of the Entry. Entrant further acknowledges that Sponsor or the Licensed Entities may develop information internally or receive information from other parties that is similar to the Entry. Accordingly, nothing in this Agreement shall be construed as a representation or agreement that Sponsor and the Licensed Entities have not or will not develop or have developed ideas, concepts, products, systems or techniques that are similar to or compete with any ideas, concepts, products, systems or techniques contemplated by or embodied in the Entry. Entrant further acknowledges that in the event of a breach of this Agreement by Sponsor or any third party including any of the Licensed Entities, the damage, if any, caused to Entrant will not entitle Entrant to seek injunctive relief or other equitable relief, and Entrant will not have the right to enjoin the production, exhibition, distribution or any other exploitation of the Entry by any Licensed Entity.

d. Entrant understands that he/she will not be paid any money for submitting the Entry or for agreeing to the terms set forth herein.

In the event of a violation of these Entry Guidelines, Sponsor reserves the right in its sole discretion to take such actions, if any, as it deems appropriate with respect to the Tweet in question, including, without limitation, removing the Tweet, or disqualifying the Tweet from the Contest.

Entrants are providing information to Sponsor and not to Twitter. Twitter is not associated with this Contest in any way and any questions, comments or complaints regarding the Contest must be directed to Sponsor and not to Twitter.

LIMITATIONS AND LIABILITIES: Proof of sending or submission will not be deemed to be proof of receipt by Sponsor. Use of any automatic means to enter the Contest is prohibited. Any attempt by any Entrant to obtain more than the stated number of entries by using multiple/different email addresses, Twitter accounts, identities, registrations and logins, or any other methods may be disqualified. Normal Internet access and usage charges imposed by Entrants' internet service provider may apply. If Entrant makes or receives Tweets on Entrant's mobile phone, standard data usage or messaging rates will apply. In order to participate in the Contest without receiving Tweets on Entrant's mobile phone, Entrant must deactivate Entrant's mobile phone from Entrant's Twitter account. In the event of a dispute as to any Entrant, the authorized account holder of the email address used to register with Twitter will be deemed to be the Entrant. Potential winners may be required to show proof of being the authorized account holder of the email address/Twitter account associated with the Entry. Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the entry process or the operation of the Contest; violates the Official Rules; or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

7. JUDGING: All Entries will be prescreened to insure the Entries have correctly met the Entry Guidelines and meet with Sponsor's general standards and practices prior to any judging (the qualified Entries deemed "Qualified Entries"). Qualified Entries will be reviewed and scored by a panel of qualified judges, according to the following criteria:

a. Up to fifty (50) points for Creativity & Originality: i. Is the entry original, unique and creative? Something we haven't seen before?

b. Up to fifty (50) points for "Pettiness" & Spirit of the Golic and Wingo brand: i. Is the entry aligned with "pettiness", i.e. does it make a big deal of trivial things in a nonsensical manner?

c. Up to fifty (50) points for Humor & Entertainment Quality: i. Is the entry engaging? Does it keep our interest and make us laugh?

The three (3) highest-scoring qualified Entries per Contest Period will be deemed the Grand Prize winners for that Contest Period. Entries will not roll into the next Contest Period. In case of a tie, the tying Qualified Entries will be rescored with the judging criteria described above (i.e., creativity, pettiness and thematic alignment), using a scale of up to 50 points for each criterion, with the highest scoring Qualified Entry as the chosen winner.

8. WINNER NOTIFICATION AND REQUIREMENTS OF POTENTIAL WINNER: Each potential winner will initially be notified by Sponsor via Twitter. The potential winner will have forty-eight (48) hours to respond to the message from Sponsor. If no response is received, Sponsor will select the next highest-scoring Qualified Entry as an alternate potential winner. Up to two (2) alternate winners will be contacted per prize. All alternate potential winners will then have forty-eight (48) hours to respond to the message from Sponsor. Potential winners may be required to complete an Affidavit of Eligibility, Liability Release and Publicity Release (except where prohibited by law), which must be reviewed and agreed to within two (2) days of the date of email notification. The winner must meet all eligibility requirements including the timely execution and return of all necessary releases and documents (if any) required by Sponsor as outlined above in order to win a prize. The prize may be forfeited, and the prize will be awarded to an alternate based on the judges selection if (i) any of the required documentation is not returned within two (2) days, (ii) any prize notification or any prize is returned as undeliverable, (iii) Sponsor is unable to contact a potential winner within forty-eight (48) hours of its first attempt, (iv) a potential winner is ineligible, as determined by Sponsor in its sole discretion, (v) a potential winner declines the prize, or (vi) a potential winner is otherwise not in compliance with these Official Rules.

ESPN reserves the right to conduct a background check concerning any potential winner/travel companion, including without limitation checking publicly available information contained in civil and criminal court records, police reports, and social media. To the extent necessary under law, winner and travel companion shall authorize such background check and acknowledge that ESPN has a legitimate business need for such background check. ESPN may also take all steps necessary to corroborate any information provided to ESPN by winner and travel companion in his/her interview, including conducting its own internal vetting process. In that regard, winner and travel companion will be obligated to provide necessary contacts and information (including but not limited to full legal name, home address, telephone number and date of birth) so that ESPN may conduct such background check and internal vetting. ESPN reserves the right (at its sole discretion) to disqualify a winner or travel companion based on the background check or internal vetting, and to select an alternate winner. For clarity, disqualification of a winner will result in the automatic disqualification of the travel companion.

ALL POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL. SPONSOR SHALL SOLELY DETERMINE ANY FORM OF VERIFICATION. AN ENTRANT IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL WINNERS'S ELIBIGILITY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE. SPONSOR WILL NOT ACCEPT SCREEN SHOTS, AFFIDAVITS OR OTHER EVIDENCE OF WINNING IN LIEU OF ITS VALIDATION PROCESS. SPONSOR RESERVES THE RIGHT TO DISQUALIFY ANY POTENTIAL WINNER IF IT DETERMINES, IN ITS SOLE DISCRETION, THAT ANY USER INFORMATION WAS CHANGED OR FALSIFIED IN ORDER TO MEET ELIGIBILITY REQUIREMENTS.

9. PRIZES AND APPROXIMATE RETAIL VALUE ("ARV") (TOTAL PRIZE ARV: $28,260): Per Contest Period, up to three (3) "Grand Prize Winners" will be awarded a "Prize Package" consisting of a Two (2)-night, Three (3)-day trip for three (3) people (the Grand Prize Winner and two (2) guests). Each Prize Package specifically includes: • One (1) 18-hole round of golf at the resort; • Meet and greet with Mike Golic, Trey Wingo, and/or Mike Golic Jr.; • Welcome reception; • Swag bag of Golic and Wingo branded items; • Round-trip coach class air transportation for Grand Prize Winner and two (2) travel companions (provided from among ESPN travel partners (United, American, Delta) and their subsidiaries) from a major commercial U.S. airport near the winner's residence (as determined by Sponsor) to destination airport; • Two (2) nights of hotel accommodations (two (2) standard rooms with double occupancy); and • Transportation to and from destination airport and planned events.

Contest Period 1: • Travel Dates: June 21-23, 2019 • Destination Airport: Raleigh-Durham International Airport (Morrisville, NC) • Resort Stay: Pinehurst Resort in Pinehurst, North Carolina • Individual Prize ARV: $4,810

Contest Period 2: • Travel Dates: July 26-28, 2019 • Destination Airport: General Mitchell International Airport (Milwaukee, WI) • Resort Stay: Whistling Straits • Individual Prize ARV: $4,810

The Prize Package is non-transferable. Dates and details are subject to change. The Prize Package is valid for the Grand Prize Winner and two (2) guests. Please disclose any special needs to Sponsor when notified as the Grand Prize Winner. Handicapped access may be limited during certain aspects of this experience. Entrants may be required to execute and return an Affidavit of Eligibility, Liability Release, and (where legal) Publicity Release. All aspects of the travel portion of the prizes must be conducted on dates as determined by Sponsor in its sole discretion. If a Grand Prize Winner cannot take a trip on the dates determined by Sponsor the Prize Package will be forfeited in its entirety. The dates of departure and return are subject to change at Sponsor's sole discretion. Travel restrictions, conditions and limitations may apply.

Items that are not included as part of the Prize Package, and which are accordingly the responsibility of the Grand Prize Winner and his/her eligible guests, are: hotel room service, laundry service, alcoholic beverages, merchandise, souvenirs, local and long-distance telephone calls, tips, gratuities, service charges or taxes, and all other charges and items not otherwise described above. Travel companions on any prize trip must be eighteen (18) years of age or older, or if a minor, must be accompanied by a parent or legal guardian. Travel companions will be required to sign and return a travel liability/publicity release prior to awarding of the prize. All travelers must travel together on the same itinerary and possess all required travel documents prior to awarding of travel prizes. Travel restrictions, conditions and limitations may apply. Travel arrangements are subject to availability and must be roundtrip. Sponsor shall not be responsible for any cancellations, delays, diversions or substitution or any act or omissions whatsoever by the air carriers, hotels or other transportation companies or any other persons providing any of these services or accommodations. Sponsor shall not be liable for any loss or damage to baggage. Air transportation may not include government taxes, Passenger Facility Charge or September 11th Security Fee. Airline tickets are non-refundable/non-transferable and are not valid for upgrades and/or frequent flyer miles. Airline and hotel blackout dates may apply. All airline tickets are subject to the vagaries of flight variation, work stoppages, and schedule or route changes. ARV for travel prize may vary depending upon points of departure and destination and fare fluctuations. Sponsor reserves the right to structure travel route and select hotels in their sole discretion. If the closest airport to a Grand Prize Winner's home is in close enough proximity to prize destination city so that, as Sponsor may determine in its sole discretion, a flight is unnecessary, such Grand Prize Winner will receive alternate ground transportation from the Sponsor with no further obligation to the Grand Prize Winner. Travel prize winners will not receive cash or any other form of compensation if actual travel costs are less than the stated ARV in these Official Rules. The round-trip air transportation element for any travel prize begins and ends at the point of departure. In the event a traveler and/or his or her travel companions engage in behavior that (as determined by Sponsor in Sponsor's sole discretion) is obnoxious or threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to terminate the trip or other applicable experience early, in whole or in part, and send such Grand Prize Winner and/or his or her travel companion home with no further compensation. In the event a Grand Prize Winner is able to participate in the trip during the dates designated by Sponsor but planned activities do not or cannot take place as scheduled or at all, for reasons including but not limited to scheduling conflicts, cancellations, postponement, or for any other reason, then the Sponsor reserves the right to award the remainder of the Prize Package with no further obligation to the Grand Prize Winner. Except as stated in the preceding sentence, no cash alternatives, prize substitutions or transfer of prize will be allowed, except Sponsor reserves the right to substitute prize(s) of comparable value if a prize listed or any portion thereof is unavailable for any reason. Complete terms and conditions of prize trips will be furnished with prize notification. No more than the advertised number of prizes will be awarded. All applicable federal, state, and local taxes on prize are the sole responsibility of the prize winners. Grand Prize Winner must submit a validly executed IRS Form W9 and will receive a 1099 tax form for the actual retail value of the prize no later than the January following awarding of prize.

10. GENERAL: All federal, state and local laws and regulations apply. Sponsor is not responsible for lost, late, unintelligible, misdirected, incomplete or damaged Entries. By participating in this Contest, Entrants agree to be bound by the Official Rules and the decisions of the Sponsor which are final and binding in all respects. Sponsor reserves the right to disqualify any person found or suspected of tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules. Entrants in the Contest assume all liability for any injury or damage caused, or claimed to be caused, by participation in the Contest or use or redemption of any prize. Sponsor provides no warranty, representation, or guarantee of any kind for any prize. Sponsor is not responsible for any typographical, computer, or other error in the printing, the conduct of, the offering, or the announcement of any prize. Entrants, by entering the Contest, agree to indemnify, release and hold harmless ESPN Radio, a division of ABC Radio Network Assets, Dell Marketing L.P. and Twitter and their affiliates, parents, and subsidiaries; their respective advertising, promotion and production agencies; and the employees, officers, directors, agents and representatives of each of the foregoing (collectively, "Released Parties") from any and all liability, claims or actions of any kind whatsoever for injuries, damages, including direct, indirect, incidental, consequential, or punitive damages (where legal), or losses to persons and property, including but not limited to property damage, personal injury and/or death, which may be sustained in connection with the Contest, the receipt, ownership or use of, or travel associated with any prize or while preparing for, participating in, and/or traveling to or from any prize-related activity.

Released Parties are not responsible for technical, hardware, software or telephone malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed Tweet, or other electronic communications caused by the Entrant or by any of the equipment or programming associated with or utilized in the Contest by Twitter or Sponsor, or by any human error which may occur in the processing of the Entries in the Contest or for any liability for damage to any computer system resulting from participation in, accessing or downloading information in connection with the Contest. All prize materials including any website or web page associated with the Contest are provided "as is" without warranty of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose or non-infringement. Some jurisdictions may not allow limitations or exclusion of liability for incidental or consequential damages or exclusion of implied warranties, so some of the above limitations or exclusions may not apply to you. Check your local laws for any restrictions or limitations regarding these limitations or exclusions.

If, for any reason, the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor, including but not limited to, fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal, state, or local government law, order, or regulation, public health crisis, order of any court or jurisdiction, or other cause not reasonably within Sponsor's control (each a "Force Majeure" event or occurrence),or a change in Twitter's Terms of Use, which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, then the Sponsor reserves the right at its sole discretion to modify, suspend, or terminate the Contest and determine the winners from among all eligible Entries received prior to cancellation.

Except as otherwise contemplated by these Official Rules, and to the extent Entrants may otherwise elect at the time of Entry, information provided for this Contest is subject to Sponsor's privacy policy located at https://privacy.thewaltdisneycompany.com/en/current-privacy-policy/.

11. DISPUTES: This Contest is governed by the laws of the United States and the State of Connecticut, without respect to conflict of law doctrines. As a condition of participating in this Contest, Entrants agree that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or in connection with this Contest, shall be resolved individually, without resort to any form of class action, exclusively before a court located in Connecticut having jurisdiction. Further, in any such dispute, under no circumstances will Entrants be permitted to obtain awards for, and hereby waive all rights to claim punitive, incidental or consequential damages, including attorneys' fees, other than Entrant's actual out-of-pocket expenses (e.g. costs associated with entering), and Entrant further waives all rights to have damages multiplied or increased.
